1. Definitions

1.1 In these Terms and Conditions:

  1. “Auction247 Ltd” means Auction247 Ltd trading as Auction247 and includes, where the context requires, its auctioneers, staff, officers, directors, authorised representatives and agents.
  2. “Seller” means the owner, consignor or person lawfully authorised to sell the Goods.
  3. “Bidder” means any person or entity registered to participate in the auction.
  4. “Buyer” means the successful Bidder for a Lot.
  5. “Lot” means any item, parcel, pallet, bundle, bag, grouped goods, consignment or mixed lot offered for sale.
  6. “Goods” means all property offered for sale of any kind.
  7. “Platform” means any third-party bidding, advertising or listing platform.
  8. “Invoice” means any invoice, payment request, statement, dispatch request or charge notice issued by Auction247 Ltd.

2. Basis of Sale

2.1 All Goods are sold by auction unless expressly stated otherwise in writing.

2.2 All sales are strictly business-to-business and for trade, resale, export, clearance, wholesale or other commercial purposes unless expressly stated otherwise in writing by Auction247 Ltd.

2.3 By registering, bidding, paying, collecting or arranging dispatch, the Buyer warrants and confirms that they are acting in the course of business and not as a consumer.

2.4 Caveat emptor applies in full.

2.5 Auction247 Ltd may act as auctioneer, agent, intermediary, facilitator, payment handler, enforcement party or principal.

2.6 Unless expressly stated in writing, Auction247 Ltd does not manufacture, inspect, test, authenticate, certify or guarantee any Goods.

2.7 These Terms are intended to allocate risk on a reasonable commercial basis for trade auctions and clearance sales.

3. Contract Formation

3.1 A legally binding contract is formed when a bid is accepted, whether at the fall of the hammer, by online closing, by post-auction acceptance, by reserve acceptance or by other confirmation from Auction247 Ltd.

3.2 Each Lot forms a separate and independent contract.

3.3 Bids below reserve may remain open and capable of acceptance for up to 48 hours after the auction ends.

3.4 Third-party Platforms are not party to the contract and have no authority to vary, cancel, waive, interpret or override any sale, invoice, dispute, charge or obligation.

3.5 The contract is formed solely on these Terms, the Lot description and the Invoice.

4. Auction Process

4.1 All bids are legally binding and irrevocable.

4.2 No bid may be withdrawn, retracted, cancelled or reversed except at the absolute discretion of Auction247 Ltd.

4.3 The Seller is not obliged to accept the highest bid.

4.4 Auction247 Ltd may, without liability:

  1. refuse any registration or bid;
  2. require proof of funds, identification or deposit;
  3. remove any Bidder;
  4. divide, combine, amend, suspend, extend, relist or withdraw any Lot;
  5. settle any bidding dispute in its absolute discretion.

4.5 Any decision by Auction247 Ltd regarding bidding, increments, dispute resolution or conduct of sale is final.

5. Registration, Identity and Verification

5.1 Auction247 Ltd may require registration before bidding.

5.2 New or unknown Bidders may be required to provide identification, proof of address, company details, bank details, incorporation documents, director details or any other information reasonably required for compliance, fraud prevention or risk control.

5.3 Auction247 Ltd may refuse any registration that does not satisfactorily match the identity presented.

5.4 Auction247 Ltd may withhold bidding access, Goods or funds until all checks are completed to its satisfaction.

6. Deposits

6.1 Auction247 Ltd may require a deposit from any Bidder or Buyer at its discretion.

6.2 A deposit may be required because of risk profile, previous non-payment, adverse feedback, industry black marks, unusual bidding pattern, fraud concerns or any other commercial reason.

6.3 Once a bid is placed, any required deposit is non-refundable unless Auction247 Ltd expressly agrees otherwise in writing.

6.4 Deposits may be retained in whole or in part for breach, non-payment, cancellation attempt, relisting loss, administrative cost or risk mitigation.

6.5 Deposits may be credited against sums due.

7. Descriptions, Catalogues, Images and Estimates

7.1 Any statement in a catalogue, listing, image, condition report, estimate, guide, note, commentary or marketing material as to origin, date, age, attribution, genuineness, quantity, condition, value, resale price or suitability is a statement of opinion only.

7.2 Such statements do not constitute a representation, warranty or assumption of liability by Auction247 Ltd.

7.3 Photographs may be stock, catalogue, representative, illustrative or library images only.

7.4 Colours, contents, packaging, accessories, quantities and presentation may vary.

7.5 Mixed, returned, mystery, palletised, aviation-themed, evidence-style and clearance Lots may vary materially from any example image or guide wording.

7.6 Estimates are indicative only and are not guarantees of value or outcome.

7.7 Errors, omissions, stock-image mismatch, miscataloguing, spelling mistakes or estimate variations do not invalidate a sale unless proven materially misleading in law.

8. Inspection and Buyer Responsibility

8.1 Prospective Buyers are strongly advised to inspect Goods personally before bidding wherever inspection is offered.

8.2 The Buyer is solely responsible for satisfying themselves before bidding as to condition, authenticity, quantity, specification, provenance, title, legality, safety, suitability, resaleability and compliance.

8.3 Buyers must rely on their own judgement, inspection, skill and due diligence.

8.4 Buyers must not rely solely on descriptions, images, estimates, condition reports, commentary, oral statements, marketing material or third-party opinions.

8.5 All Goods are purchased entirely at the Buyer’s own commercial risk.

9. Condition Reports

9.1 Auction247 Ltd may issue a condition report on request before sale.

9.2 Any condition report is for identification and guidance only and does not form part of the contract.

9.3 A condition report may not mention all faults, defects, restorations, repairs, substitutions or alterations.

9.4 Auction247 Ltd accepts no liability for any omission or inaccuracy in any condition report.

10. Non-Reliance

10.1 The Buyer confirms that in entering into any contract they have not relied upon any representation, statement, warranty or promise other than those expressly set out in these Terms, the Lot description and the Invoice.

10.2 All other representations and warranties are excluded to the fullest extent permitted by law.

11. Condition of Goods

11.1 All Goods are sold as seen, as lying, as received, with all faults, defects and imperfections.

11.2 Goods may be returned, shelf-pulled, ex-display, customer return, surplus, damaged, incomplete, untested, used, repackaged, substituted or mixed.

11.3 No warranty, guarantee or representation is given as to condition, functionality, performance, lifespan, merchantability, fitness for purpose, compliance or resale value.

11.4 The Buyer is fully responsible for all inspection, testing, repair, servicing, certification, labelling, safety checks and resale compliance.

12. Electrical Goods

12.1 All electrical items are sold as seen.

12.2 Auction247 Ltd gives no warranty or guarantee as to working condition, electrical safety, certification, PAT status or legal compliance.

12.3 It is the Buyer’s responsibility to ensure that any electrical item is safe, tested and compliant before use or resale.

13. Brand Names and Authenticity

13.1 Brand names, model numbers, maker references and product identifiers are used for identification and descriptive convenience only.

13.2 No guarantee, warranty or representation is given as to authenticity, provenance, authorised distribution, originality of parts, manufacturer backing or entitlement to any manufacturer warranty.

13.3 The Buyer must verify authenticity independently before bidding.

13.4 Absence of box, papers, manuals, certificates, tags, serial matches or manufacturer records does not invalidate a sale.

14. Inspection After Sale, Time Limits and Acceptance

14.1 The Buyer must inspect Goods within 48 hours of receipt or collection.

14.2 Any claim must be notified in writing within 48 hours and fully evidenced within 7 days.

14.3 Failure to notify Auction247 Ltd within that period constitutes full and final acceptance.

14.4 The following constitute automatic acceptance:

  1. opening packaging;
  2. breaking seals;
  3. removing protective wrapping;
  4. testing;
  5. powering on;
  6. handling beyond reasonable inspection;
  7. alteration;
  8. resale;
  9. transfer;
  10. repackaging.

14.5 Claims made outside the stated time limits are permanently barred.

14.6 No claim may be made once Goods have been used, altered, broken down, separated, repacked or resold.

15. No Right to Reject

15.1 The Buyer has no right to reject Goods once:

  1. payment has been made;
  2. Goods have been dispatched;
  3. Goods have been collected;
  4. Goods have been made available for collection.

15.2 All rights of rejection are excluded to the fullest extent permitted by law.

15.3 No cancellation, return or refund is available except where strictly required by law and expressly accepted by Auction247 Ltd in writing.

16. Mixed Goods, Missing Items and Substitutions

16.1 Lots may contain mixed items, substituted items, missing items, incomplete quantities, incorrect goods, assorted contents, unboxed items or non-matching contents.

16.2 No claim, refund, allowance or compensation shall be accepted for differences in contents, substituted contents, mixed contents, missing items, quantity variation or incorrect goods.

16.3 This clause is especially important for clearance, pallet, mystery, evidence-style, returned and aviation-themed Lots.

17. Watches and Timepieces

17.1 All clocks, watches and timepieces, including but not limited to TAG Heuer and other branded watches, are sold strictly as seen and as branded only.

17.2 No guarantee is given as to authenticity, originality of parts, service history, timekeeping accuracy, waterproofing, battery condition, mechanical condition, pressure resistance, manufacturer warranty or matching box and papers.

17.3 Most watches and clocks are likely to have been repaired, serviced, opened, altered or fitted with replacement parts in the past.

17.4 Auction247 Ltd makes no representation that any watch or clock is in working order.

17.5 The Buyer is solely responsible for servicing, repair, battery replacement, pressure testing, authentication and parts replacement.

17.6 If a watch includes a strap, bracelet or element derived from restricted material or species, it may be removed prior to dispatch if required for compliance.

17.7 No claim shall be accepted on the basis that a watch later requires servicing, repair, authentication, battery replacement or replacement parts.

18. Jewellery and Gemstones

18.1 Gemstones may have been treated, heated, oiled, stained, irradiated, coated, enhanced or otherwise altered.

18.2 Any estimate or description is given on the basis that prior treatment may exist unless expressly stated otherwise.

18.3 Certificates, if present, are statements of opinion from the issuing laboratory only.

18.4 Auction247 Ltd accepts no liability for any laboratory opinion, certificate wording or subsequent differing expert view.

18.5 Estimated gemstone weights stated as approximate are opinions only unless the stone has been removed and weighed.

19. Mystery Bags, Evidence-Style Lots and Clearance Bags

19.1 Mystery bags, evidence-style lots, sealed bags, airport bags, lounge bags, returned parcel bags and similar formats are sold strictly on an as-received, mixed-contents basis.

19.2 Such Lots may include variable, substituted, incomplete, branded, unbranded, damaged, surplus, used or miscellaneous contents.

19.3 Any retail estimate, indicative insurance value, sample image or guide wording is illustrative only and not guaranteed.

19.4 No claim may be made in respect of disappointment, variation, assortment, missing expected categories, retail value not being achieved or contents differing from expectation.

19.5 Where adult goods, cosmetics, beauty products or hygiene-related products appear in such Lots, no returns are accepted on hygiene grounds once opened or handled.

20. Aviation, Air Movements and Similar Themed Lots

20.1 Aviation-themed, Air Movements, airport-style, private-jet, charter, executive or lounge-themed Lots are branding and presentation concepts only unless expressly stated otherwise in writing.

20.2 No representation is made that such Goods originate directly from any airline, jet operator, airport, charter company, executive lounge or aviation authority unless expressly stated in writing.

20.3 Aviation wording is descriptive, thematic or marketing-led and does not create any warranty of provenance.

20.4 Any indicative insurance value, style reference or themed presentation is a guide only.

21. Cultural Goods, CITES and Restricted Materials

21.1 Some Goods may be subject to import, export, customs, cultural property, heritage or CITES restrictions.

21.2 It is the Buyer’s responsibility to verify whether export licences, import permits, CITES paperwork, customs approvals or other permissions are required.

21.3 Auction247 Ltd accepts no liability if the Buyer is unable to obtain any permit, licence or authority.

21.4 Failure to obtain any permit or licence does not cancel the sale and does not entitle the Buyer to refund or rescission.

21.5 Auction247 Ltd may remove, retain or refuse to ship restricted components where legally required.

22. Payment

22.1 The total price payable includes:

  1. hammer price;
  2. buyer’s premium;
  3. VAT where applicable;
  4. postage;
  5. packaging;
  6. handling;
  7. storage;
  8. pallet charges;
  9. administrative or recovery charges where applicable.

22.2 Payment is due within 24 hours of invoice unless otherwise stated in writing.

22.3 Cleared funds must be received within 48 hours.

22.4 Auction247 Ltd may require payment by bank transfer only.

22.5 Auction247 Ltd may refuse payment from anyone other than the registered Buyer.

22.6 Time for payment is of the essence.

22.7 Auction247 Ltd reserves the right to refuse payment, cancel a sale, delay release or request additional information where anti-money laundering, sanctions, fraud or compliance concerns arise.

23. Buyer’s Premium, VAT and Taxes

23.1 The Buyer shall pay the buyer’s premium stated by Auction247 Ltd for the relevant sale or platform.

23.2 VAT shall apply where legally chargeable.

23.3 The Buyer is responsible for all taxes, duties, import charges, brokerage fees, customs charges and equivalent taxes arising on or after sale.

23.4 Any platform surcharge, online bidding surcharge, export document charge, processing fee or equivalent charge notified before or at sale shall also be payable.

23.5 Rates, tax treatment and charges may vary by Lot, platform, jurisdiction or sale type.

24. Retention of Title

24.1 Legal and beneficial title to Goods shall not pass until full cleared payment of all sums due has been received by Auction247 Ltd.

24.2 Risk may pass before title.

24.3 Until title passes, the Buyer holds the Goods as bailee only.

25. Risk

25.1 Risk in the Goods passes to the Buyer at the earliest of:

  1. the fall of the hammer;
  2. dispatch;
  3. collection;
  4. availability for collection;
  5. handover to a courier, pallet network, transport company or third-party logistics provider.

25.2 Neither Auction247 Ltd nor its agents shall be responsible for loss or damage thereafter to the fullest extent permitted by law.

26. Non-Payment, Default and Remedies

26.1 Failure to pay in full and on time is a breach of contract.

26.2 Auction247 Ltd may, without limiting any other right:

  1. cancel the sale;
  2. retain the deposit;
  3. relist the Lot;
  4. resell the Goods by auction or otherwise;
  5. refuse future bids;
  6. suspend the account;
  7. require further deposit;
  8. apply a lien over property of the Buyer in its possession to the fullest extent permitted by law;
  9. offset monies held;
  10. commence legal proceedings;
  11. assign the debt;
  12. recover all losses and costs.

26.3 The defaulting Buyer remains liable for:

  1. the full balance due;
  2. any shortfall on resale;
  3. buyer’s premium;
  4. VAT where applicable;
  5. logistics and handling charges;
  6. legal, administrative and recovery costs.

27. Interest

27.1 Interest may be charged on overdue sums at 8% above the Bank of England base rate, accruing daily before and after judgment.

28. Set-Off and Application of Funds

28.1 Auction247 Ltd may deduct or set off any outstanding amount, charge, loss, fee or liability from:

  1. deposits held;
  2. seller funds held;
  3. credit balances;
  4. any other monies due to the Buyer or Seller.

28.2 Auction247 Ltd may apply any payment received to any debt or invoice owed by the Buyer in such order as it decides.

29. Delivery and Dispatch

29.1 Auction247 Ltd is not the carrier.

29.2 All transport and delivery services are provided by third parties unless expressly stated otherwise.

29.3 Auction247 Ltd accepts no liability for delay, failed delivery, incomplete delivery, loss in transit, damage in transit, missed delivery slot, tracking inaccuracy, carrier error, customs delay or depot surcharge, subject always to any liability that cannot lawfully be excluded.

29.4 All claims relating to carriage must be pursued against the carrier where applicable.

29.5 Auction247 Ltd is under no obligation to dispatch Goods until all auction sums and logistics charges are paid in full.

30. Postal, Packaging and Handling Charges

30.1 Postage, packaging and handling charges are separate contractual charges and include labour, materials, administration, preparation, wrapping, booking, dispatch handling and logistics management.

30.2 A minimum one-off handling and dispatch charge of £20 plus VAT applies per invoice, consignment or dispatch and is not charged per individual Lot unless expressly stated.

30.3 In addition to the handling charge, postage or courier charges apply separately, and parcel delivery charges may start from £14 plus VAT or such higher rate as invoiced depending on size, weight, fragility, value, insurance, labour and destination.

30.4 Additional charges may be applied where required, including for oversized items, fragile goods, multiple parcels, insured services, remote or extended delivery areas, repacking, additional protection or exceptional labour.

30.5 All postage, packaging, handling and dispatch charges are accepted in full by the Buyer and are non-refundable once incurred, booked or invoiced.

31. Pallet Freight Charges

31.1 Pallet delivery charges vary by weight, size, destination, labour, access restrictions and carrier conditions.

31.2 As a general guide only, pallet freight may be charged approximately as follows:

  1. quarter pallet: £59.99 to £69.99;
  2. half pallet: £79.99 to £99.99;
  3. full pallet: £119.99 to £149.99;
  4. oversized, fragile or heavy-duty pallet: £149.99 to £199.99 or more.

31.3 Additional pallet handling charges may be added for shrink wrap, boarding, strapping, forklift movement, warehouse labour, repalletising, heavy lifting, oversized presentation or administration.

31.4 Pallet delivery is economy, kerbside, non-timed and not guaranteed unless expressly upgraded in writing.

31.5 The Buyer must ensure suitable vehicle access, safe unloading area, attendance at the delivery point and compliance with all pallet-network conditions.

31.6 Failed pallet delivery, redelivery, storage, return-to-depot, tail-lift issues or access failure are entirely at the Buyer’s cost.

31.7 All pallet freight and handling charges are non-refundable once booked or incurred.

32. Collection

32.1 Collection is only available where expressly permitted by Auction247 Ltd.

32.2 Collection is not an automatic right.

32.3 Collection may be refused on health and safety, staffing, security, access, compliance or operational grounds.

32.4 Where collection is permitted, it must be fully paid, pre-booked, attended with suitable transport and attended with identification and collection reference.

32.5 Unsafe, unbooked, late or failed collections may be refused without liability.

33. Ports, Warehouses and Third-Party Locations

33.1 Goods may be stored, processed, packed, moved or dispatched from ports, warehouses, depots, auction rooms, third-party fulfilment centres or other authorised locations.

33.2 Such locations are used for operational convenience only and do not affect:

  1. the identity of the contracting parties;
  2. the place where the contract is formed;
  3. the governing law;
  4. jurisdiction;
  5. Auction247 Ltd’s right to recover charges, losses or debts.

33.3 No port, warehouse, depot or third-party location shall be taken as creating a separate contract, local jurisdiction agreement or separate place of business for dispute purposes.

34. Storage

34.1 Where Goods are not collected, where delivery is not arranged, or where dispatch charges remain unpaid, storage charges shall apply.

34.2 Storage is charged at £50 plus VAT per Lot per day or part thereof unless a different rate is expressly stated in writing by Auction247 Ltd.

34.3 Storage charges begin immediately after the applicable collection, payment or dispatch deadline has expired.

34.4 Goods left unpaid, uncollected or undelivered may be resold, disposed of or otherwise dealt with after reasonable notice.

34.5 The Buyer remains liable for all storage, handling, administrative charges, resale loss, disposal costs and all other associated losses.

35. Claims

35.1 Claims must:

  1. be made strictly in writing;
  2. be made within the stated time limits;
  3. include clear photographic and documentary evidence.

35.2 No claim shall be accepted where:

  1. the Goods have been opened beyond inspection;
  2. seals have been broken;
  3. the Goods have been used;
  4. the Goods have been resold;
  5. the Goods have been altered;
  6. the claim concerns disappointment, resale value or commercial expectation.

35.3 No verbal complaint, social media post, platform message, courier complaint or third-party remark constitutes a valid claim unless properly submitted to Auction247 Ltd in writing.

36. Refunds and Credit Notes

36.1 All sales are final.

36.2 No refund, return or cancellation is permitted except where required by law and accepted in writing by Auction247 Ltd.

36.3 Credit notes may be issued strictly at the discretion of Auction247 Ltd without admission of liability.

36.4 No refund or credit is available where Goods have been opened, used, tested, altered, broken down, repacked or resold.

36.5 Where any refund is exceptionally agreed, Auction247 Ltd may deduct its fees, handling, administration and irrecoverable third-party costs to the fullest extent permitted by law.

37. Chargebacks and Payment Disputes

37.1 Any chargeback, reversal, payment dispute or bank recovery process initiated by the Buyer in breach of these Terms shall constitute:

  1. breach of contract;
  2. an immediately recoverable debt for all resulting loss and cost.

37.2 The Buyer shall indemnify Auction247 Ltd against all bank fees, legal fees, administrative costs, tracing costs, time costs and enforcement expenses arising from any chargeback or payment dispute.

37.3 Auction247 Ltd may report chargeback abuse and payment misconduct to relevant third parties and industry bodies where lawful.

38. Recovery of Costs and Fees

38.1 The Buyer or Seller in breach shall be liable for all costs arising from that breach, including but not limited to:

  1. court fees;
  2. issue fees;
  3. hearing fees;
  4. enforcement fees;
  5. solicitor fees;
  6. counsel fees;
  7. debt recovery fees;
  8. tracing fees;
  9. administrative charges;
  10. storage fees;
  11. relisting loss;
  12. transport costs;
  13. packaging and handling;
  14. courier and pallet costs;
  15. banking charges;
  16. investigation costs.

38.2 Time spent by Auction247 Ltd, its directors, officers, managers, staff, consultants or representatives is chargeable at £250 plus VAT per person per day or part thereof.

38.3 This includes complaint handling, legal drafting, evidence gathering, solicitor liaison, witness preparation, court attendance, travel time, management time, enforcement work and dispute administration.

38.4 Travel, mileage, subsistence, accommodation and attendance expenses may also be charged where incurred.

38.5 All such charges are recoverable as a debt and may be added to the outstanding balance.

38.6 The parties agree these charges are intended to be a reasonable and proportionate commercial cost allocation and, where applicable, a genuine pre-estimate of loss. Any court would still be free to assess enforceability where the law requires.

39. Limitation of Liability

39.1 Auction247 Ltd shall not be liable for loss of profit, loss of bargain, loss of business, loss of opportunity, reputational loss, consequential loss or indirect loss.

39.2 Any liability of Auction247 Ltd, where not excluded, shall be limited to the hammer price of the relevant Lot only.

39.3 Nothing in these Terms excludes liability which cannot lawfully be excluded. In particular, exclusions of negligence liability are subject to statutory limits, and consumer-facing transactions are subject to consumer-law controls.

40. Liability of Individuals

40.1 All contractual liability rests with Auction247 Ltd only.

40.2 No director, employee, consultant, agent or representative of Auction247 Ltd shall have personal liability to any Buyer, Seller or third party.

40.3 The Buyer and Seller agree not to pursue any personal claim against any individual associated with Auction247 Ltd.

41. Personal Liability for Company Bidders

41.1 A person registering, bidding or purchasing on behalf of a company, partnership or other entity warrants that they have authority to bind that entity.

41.2 Where authority is disputed, false details are used, or the entity fails to pay, Auction247 Ltd may treat that individual as jointly and severally liable.

42. Seller Warranties and Indemnity

42.1 The Seller warrants that all Goods consigned are lawfully owned or controlled, capable of lawful sale, not counterfeit, not stolen and not subject to undisclosed finance or third-party claim.

42.2 Auction247 Ltd relies on Seller representations in accepting Goods.

42.3 The Seller shall indemnify and keep indemnified Auction247 Ltd against all claims, losses, actions, liabilities, costs and expenses arising from title disputes, counterfeit allegations, fraud, illegality, regulatory breach, intellectual property disputes or third-party claims.

43. Seller Payments

43.1 Seller funds may be held until Buyer payment has fully cleared, the transaction is complete, any risk review is complete and any dispute or complaint is assessed.

43.2 Payments to Sellers may be delayed, withheld, offset or retained where there is legal, fraud, chargeback, compliance, identification or dispute risk.

43.3 Auction247 Ltd may make reasonable reserves against future liabilities.

44. Seller Compliance and Prohibited Goods

44.1 Sellers must not consign counterfeit, stolen, unlawful, dangerous or prohibited Goods.

44.2 This includes, without limitation, Goods associated with fraud, money laundering, narcotics, stolen property, unlawful importation or unlawful trade.

44.3 Auction247 Ltd may suspend, cancel, withhold, report or cooperate with authorities where such concerns arise.

45. Fraud, Accounts and Manipulation

45.1 False identities, multiple accounts, sham bidding, collusion, manipulation, misleading conduct or account abuse are prohibited.

45.2 Auction247 Ltd may suspend or terminate accounts, cancel sales, retain deposits, recover losses and report matters to platforms, law enforcement, fraud agencies or industry partners where lawful.

46. Non-Circumvention

46.1 Buyers and Sellers must not bypass or seek to bypass Auction247 Ltd in relation to any introduction, Lot, seller relationship, transaction or sale opportunity first introduced through Auction247 Ltd.

46.2 Any such circumvention entitles Auction247 Ltd to recover lost commission, fees, administrative charges and associated losses.

47. Communications

47.1 Buyers and Sellers agree to receive communications by telephone, email, SMS, invoice notice, messaging service or other business communication channel.

47.2 Notices are deemed served when sent to the last known contact details provided.

47.3 A 24-hour service means within a 24-hour operating cycle and does not guarantee an immediate response.

47.4 The priority contact number is 0871 671 0087.

47.5 WhatsApp, where used, is an advertising and promotional channel only unless expressly confirmed otherwise in writing.

47.6 Third-party mailing systems may continue processing messages during unsubscribe or update periods.

48. Communication Conduct and Reviews

48.1 Auction247 Ltd may refuse, restrict or terminate communications that are abusive, excessive, threatening, defamatory, misleading or harassing.

48.2 False, malicious or misleading statements must not be made about Auction247 Ltd, its staff, sellers or services.

48.3 Genuine lawful feedback is not prohibited, but false or damaging allegations may be pursued where appropriate.

48.4 Misuse of communication systems may result in account restriction, refusal of service or legal action.

49. Copyright and Data Protection

49.1 Auction247 Ltd owns the copyright in all images, illustrations and written material produced by or for Auction247 Ltd relating to any Lot unless otherwise stated.

49.2 Such material may not be used without prior written consent.

49.3 Personal information may be used and disclosed for auction business, compliance, fraud prevention, debt recovery, shipping, payment processing and legal purposes, or as required by law.

49.4 Auction247 Ltd does not sell, lend or trade personal data provided by Bidders or Buyers.

50. Commercial Fairness and Reasonableness

50.1 The parties agree that these Terms are intended to be reasonable, proportionate and commercially necessary in the context of trade auctions, clearance stock, mixed Lots, wholesale Goods and business purchasing.

50.2 The Buyer and Seller each confirm that they have had adequate opportunity to review these Terms before contracting.

50.3 The allocation of risk, exclusion of warranty, time limits and recovery rights in these Terms are intended to be essential conditions of sale. Any term that the law subjects to a reasonableness or fairness test will remain subject to that test.

51. Force Majeure

51.1 Auction247 Ltd shall not be liable for failure or delay caused by events outside its reasonable control, including courier issues, platform outages, system failures, severe weather, strike, fire, flood, staff shortage, security incidents, warehouse access issues or government restriction.

52. Whole Agreement

52.1 These Terms, together with the Lot description and Invoice, form the entire agreement between the parties.

52.2 No outside statement, conversation, informal message or Platform communication varies these Terms unless confirmed in writing by Auction247 Ltd.

53. Third-Party Rights

53.1 No third party shall have any right to enforce these Terms, except where Auction247 Ltd assigns a debt or enforcement right.

54. Assignment

54.1 Auction247 Ltd may assign or transfer any debt, claim, cause of action, benefit or right arising under these Terms without notice.

55. No Waiver

55.1 Failure or delay by Auction247 Ltd in enforcing any right shall not amount to a waiver of that or any other right.

56. Cumulative Remedies

56.1 All remedies available to Auction247 Ltd are cumulative and may be exercised together or separately.

57. Severability

57.1 If any provision is held invalid, unlawful or unenforceable, the remaining provisions shall continue in full force and effect.

58. Amendments

58.1 Auction247 Ltd may amend, supplement or announce additional sale-specific terms before the sale by listing, notice, email, invoice, platform notice, catalogue note, announcement or other written communication.

58.2 Any sale-specific term notified before contract formation shall take precedence over any inconsistent general term.

59. Disputes

59.1 All disputes, complaints and claims must be raised directly with Auction247 Ltd and not solely through any Platform.

59.2 Platform messages, Platform complaints or payment disputes do not suspend the Buyer’s payment obligation.

59.3 Auction247 Ltd decisions on operational matters, bidding administration, payment handling and complaint routing shall be final unless a court determines otherwise.

60. Contractual Location, Southend-on-Sea Administrative Seat and Jurisdiction

60.1 Unless otherwise expressly stated in writing by Auction247 Ltd, all contracts concluded under these Terms shall be deemed to be made, administered and performed through Auction247 Ltd’s contractual and administrative base in Southend-on-Sea, Essex.

60.2 All invoices, payment obligations, default handling, enforcement activity, dispute administration and contractual communications are deemed to arise through Auction247 Ltd’s Southend-on-Sea operations, regardless of the location of any Platform, warehouse, seller, port, dispatch point, storage site or Buyer.

60.3 The use of third-party storage sites, ports, warehouses, fulfilment providers, carriers, auction venues or dispatch locations does not alter the contractual seat of the transaction, which remains Southend-on-Sea unless Auction247 Ltd expressly states otherwise in writing.

60.4 These Terms and all contracts arising from them are governed by the law of England and Wales.

60.5 The courts of England and Wales shall have exclusive jurisdiction, provided that Auction247 Ltd may bring proceedings in any court of competent jurisdiction where appropriate for recovery or enforcement purposes.

60.6 All Buyers and Sellers, whether based inside or outside the United Kingdom, irrevocably submit to the jurisdiction of the courts of England and Wales in relation to any dispute, claim or enforcement action arising out of any auction, Lot, Invoice or transaction with Auction247 Ltd.

60.7 This drafting is intended to anchor the contract in Southend-on-Sea administratively, but court venue and enforcement remain subject to the usual rules of English civil procedure and any applicable enforcement regime.

61. Final Commercial Acceptance

61.1 By registering, bidding, paying, collecting or arranging dispatch, the Buyer confirms acceptance of these Terms in full.

61.2 By consigning Goods, the Seller confirms acceptance of these Terms in full.

61.3 These Terms apply whether or not separately signed.
